1. Agreement to Terms

By accessing or using the services provided by Sudden Labs ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Services Description

Sudden Labs provides automation setup and management services for local trades and emergency home-service businesses. Our services include but are not limited to:

• Missed-call text-back automation and AI-powered lead intake
• Automated appointment slot filling systems
• Customer review follow-up and recovery systems
• Estimate follow-up and conversion automations

3. Client Responsibilities

As a Client using our services, you agree to:

• Provide accurate information about your business, services, and scheduling availability
• Maintain active accounts with any third-party services required for automations to function
• Respond to qualified leads in a timely manner once they have been captured by our systems
• Comply with all applicable laws regarding SMS marketing and customer communications, including obtaining proper consent where required
• Not use our services for any unlawful purpose or to solicit business in violation of TCPA or other regulations

4. Pilot Program

Sudden Labs offers a free pilot program during which we set up and run automations on your business at no cost. The pilot program allows you to evaluate the service before committing to a paid arrangement. Either party may end the pilot at any time without penalty.

5. Payment Terms

Following the pilot program, payment terms will be outlined in a separate agreement or proposal specific to your business. Services are billed as agreed upon, and failure to pay may result in suspension of automation services.

6. No Long-Term Lock-In

Sudden Labs does not require long-term contracts. You may discontinue services at any time by providing written notice. Upon termination, we will work with you to transfer ownership of any automations, accounts, or data to you or your designated representative within a reasonable timeframe.

7. Intellectual Property

Custom automation workflows built specifically for your business remain your property upon payment. Pre-built templates, methodologies, and proprietary systems developed by Sudden Labs remain our intellectual property.

8. Limitation of Liability

Sudden Labs provides automation setup and consulting services. While we strive for high system reliability, we cannot guarantee uninterrupted service, specific lead volumes, or conversion rates. Our total liability shall not exceed the amount paid by you for our services in the three months preceding any claim.

9. Changes to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the updated terms.
